Sanofi-aventis names new independent director

16th December 2010

Sanofi-aventis has proposed the co-optation of Carole Piwnica as a new independent member of its board of directors.

Ms Piwnica has a legal background and is the current chief executive officer of private equity consulting firm Naxos UK, as well as serving on the boards of companies such as insurer Aviva.

The board's decision to co-opt Ms Piwnica as a new member was announced during its December 15th 2010 meeting and will now be subject to ratification at a forthcoming general meeting of shareholders.

Should the move be approved, Sanofi-aventis' new board will consist of 14 members led by chairman Serge Weinberg and chief executive officer Christopher Viehbacher, with half of the directors being independent.

The shareholders' vote will take place during a gathering on May 6th 2011.

This comes after Sanofi-aventis announced the appointment of Dr Elias Zerhouni as its new president of global research and development earlier this week, following the resignation of Dr Marc Cluzel.ADNFCR-8000103-ID-800295253-ADNFCR
