Thermo Fisher Completes $1.075bn Microbiology Sale to Astorg
Thermo Fisher Scientific has completed the sale of its microbiology business to Astorg, a leading pan-European private equity firm, for approximately $1.075 billion in cash plus a $50 million seller note. Announced on 12 August 2026, the divestiture removes a $645 million (2025 revenue) unit from Thermo Fisher’s Specialty Diagnostics segment, aligning with the analytical instrument giant’s continued portfolio focus on higher-growth diagnostics categories.
The divested microbiology business provides antimicrobial susceptibility testing (AST) and culture media solutions for clinical, pharmaceutical and food safety testing customers. Global microbiology diagnostics is estimated at $5-6 billion annually, with faster-growing AST driven by rising global antimicrobial resistance (AMR) programmes and slower-growing culture media. The divestiture aligns with Thermo Fisher’s ongoing strategic focus on higher-growth Specialty Diagnostics segments, including its recent ADLM 2026 showcase highlighting the EXENT multiple myeloma mass spectrometry platform, the CorEvitas Vitiligo Registry and expanded EliA autoimmune assays. Thermo Fisher generates over $45 billion in annual revenue globally.
Astorg, headquartered in Luxembourg, is one of Europe’s larger pan-European private equity firms with significant life sciences and healthcare exposure across its portfolio. The acquisition represents a substantial move by Astorg into standalone diagnostics infrastructure, with the newly divested Thermo Fisher unit expected to operate independently under Astorg’s ownership. The transaction reshapes the global microbiology diagnostics competitive landscape at exactly the moment antimicrobial resistance is intensifying as a global commercial and clinical priority. Competitors bioMérieux, Danaher (Beckman Coulter, Cepheid), BD (BD Kiestra, BD Phoenix), Roche Diagnostics and Bruker (MALDI-TOF) all now face a newly independent, PE-backed challenger with focused strategic intent.
The commercial signal is a strategic reshaping of the global microbiology diagnostics category as major analytical instrument groups continue to prune slower-growth segments while private equity accumulates focused specialist businesses. Expect strategic responses from bioMérieux, Danaher, BD, Roche and Bruker through the rest of 2026 and 2027 as the newly independent Astorg-backed business finds its market positioning.
