Daiichi Sankyo announces restructuring

Following the acquisitions of Sankyo and Daiichi Pharmaceuticals, Daiichi Sankyo has announced that it is to restructure its group companies.

After a meeting of the board of the directors, it has been announced that a general shareholder’s meeting will not be necessary to approve the restructure, as it is a simplified merger in accordance with Japanese Companies Law.

As a result of the merger, Sankyo and Daiichi Pharmaceuticals will be dissolved, leaving Daiichi Sankyo as the surviving company. No issuance of shares or changes in capital will be necessary due to the restructure.

“Daiichi Sankyo aims to realise high growth and maximise its corporate value by improving its ability to create innovative drugs, maintaining its high competitiveness both domestically and overseas and pursuing the highest operational efficiencies in the industry by way of integration,” the company reports.

In April, the company announced that Sankyo Pharma, Daiichi Pharmaceutical and Daiichi Medical Research were integrated in the US, being the first region in which the group’s companies were merged, ahead of Europe and Japan.

The company reported that the merged group would develop from its predecessor companies, with the new company aiming at continued innovation of pharmaceutical products and preserve the balance between drug discovery and development.
